These terms govern your use of aceconsultants.ca and, together with any written proposal or agreement, the services provided by Ace Consultants Canada Inc. (“Ace Consultants”, “we”, “us”). By using this website or engaging our services, you agree to these terms.
Our services
Ace Consultants provides website design and development, web hosting, search engine optimization, digital marketing, IT consulting, cloud computing, artificial intelligence and related services. The specific scope, deliverables, timelines and fees for any engagement are set out in a written proposal, quote or agreement, which takes precedence over these general terms where they differ.
Quotes and payment
- Quotes are provided in writing and are valid for 30 days unless stated otherwise.
- Hourly work is billed at the agreed rate; fixed-price work is billed per the agreed schedule.
- Hosting and other recurring services are billed in advance and renew automatically until cancelled with 30 days’ notice.
- Invoices are payable within 30 days. We may suspend services on accounts with overdue balances.
Client responsibilities
You agree to provide timely access to the information, systems and approvals reasonably needed to deliver the work, and to ensure you have the rights to any content or materials you supply to us.
Intellectual property
Upon full payment, you own the deliverables created specifically for you (including websites and their content). We retain ownership of our pre-existing tools, know-how and generic components, which you receive a licence to use as part of the deliverables. Third-party components (such as software licences, themes and plugins) remain subject to their own terms.
Warranties and satisfaction guarantee
We perform all services with reasonable skill and care. Web development projects include our satisfaction guarantee as described in the applicable proposal. Except as expressly stated, services are provided without other warranties, and we do not guarantee specific business outcomes such as search rankings or revenue.
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from our services or this website is limited to the amount you paid us for the services giving rise to the claim in the 12 months preceding it. We are not liable for indirect or consequential losses, or for events outside our reasonable control.
Confidentiality
Each party will keep the other’s confidential information confidential and use it only for the engagement. This survives the end of any engagement.
Termination
Either party may end an ongoing engagement with written notice as set out in the applicable agreement. You remain responsible for fees for work performed up to the effective date of termination.
Website use
The content of aceconsultants.ca is provided for general information and may not be copied for commercial use without permission. You may not attempt to disrupt or gain unauthorized access to this website.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes are subject to the courts of Ontario.
